Terms and Conditions of Membership for Calibre100

1. Introduction

These Terms and Conditions (“Terms”) govern your membership with Calibre 100 (“the Club”). By joining the Club, you agree to these Terms. Please read them carefully. If you do not agree to any part of these Terms, do not proceed with membership.

Corporate Member: A company who has applied and submitted a pledge which has been approved by the Board.  They have paid the joining fee for year one (see table above).

*At this time, we are not VAT registered and so will not be charging VAT on membership fees. This will change as we grow and are required to collect VAT on sales.

2. Membership Fees and Payment

2.1 Joining Fee: A non-refundable joining fee as set out in 1. (tables above).

2.2. Monthly Fees: Members will be required to pay regular membership fees of £99 on the 1st day of every month. If joining on a date prior to an event in any given month, you will be required to pay the joining fee plus your monthly membership fee at the same time. If joining after an event in any given month, you will be required to pay the joining fee immediately and your direct debit for membership fee of £99 will be fixed for the first day of the following calendar month. Your renewal will be required to be paid be 12 months from the 1st of the month in which you first attended an event.

2.3 Annual Fees:  All members are required to pay annual fees. The fees are set out in Part 1 of these terms however, for the sake of clarity annual fees will be a maximum of £750 for general members and £10,000.00 for a Gold corporate member.  The fees are also subject to increases as set out at 2.7 of these terms.

Regarding payment of fees, by way of example, if you join on the 1st May the following year on the same date you will pay an annual fee in addition to the monthly fee.  Your monthly fee will then be payable for the next 11 months at which point the renewal fee will become payable again etcetera, so the renewal fee is payable every 12 months.

2.4 Payment Method: All monthly membership fees and renewal fees must be paid by direct debit from a UK bank account. Forms for monthly and annual payments must be completed before membership commences.

2.5 Non-Payment:

  • If a member fails to pay their monthly membership fees for a period exceeding 56 days, the Club reserves the right to terminate the membership with immediate effect.
  • If a member fails to pay their annual fee their membership will be suspended pending payment. Failure to pay within 28 days from the due date (12-month anniversary of the date joined) will result in termination of membership with immediate effect.
  • The Club will attempt to contact the member who is in arrears and provide a final 14-day notice to settle outstanding fees before termination.
  • For monthly fees, during the 56-day period, the member will be given the opportunity to settle any outstanding payments, however, the member will not be permitted to attend any networking meetings or events.
  • Member benefits will be suspended pending cancellation.  Your member profile will be removed from the Member Lounge and your access removed.

2.6 Referrals: When the membership is open, every member is invited to refer another business owner to the Club.

Referrals from Members:

  • The referee must enquire by email to info@calibre100.com citing the referrers name, membership number and request an application form. 
  • Once a referral has been approved and that member has paid the joining fee and been a member for a period of two months, the referrer will receive a one off £250 payment. This clause applies to subsequent referred members until the club has reached its capacity of 100 members.
  • An invoice will be raised by the Member for £250 (inclusive of VAT) after which payment will be made within 30 days.  Where there are multiple referrals these must be itemised on the invoice.
  • Referrals cannot be made when the membership closes, should a membership become available, referrals are processed in date order, so, on a first come first served basis. The waiting list for membership will always prioritise referrals.
  • Referrals cannot be made by members who have been given notice to be removed from the membership by the Directors.
  • If the referral is not accepted, the parties involved will be notified.

2.7 Fee Adjustments: The Club reserves the right to adjust membership and annual fees. Members will be provided with at least 30 days’ notice of any changes.  Notification of changes will be posted in the membership area.

3. Membership Duration

3.1. Membership is assumed to be for life, subject to payment of membership fees as per parts 1 and 2 herein, unless terminated in accordance with these Terms.

3.2. Members may cancel their membership with three months’ written notice by e-mail to the Member e-mail address. Monthly fees will remain payable during the notice period. 

4. Member Benefits

4.1. Members will receive unique login credentials to access the Club’s online members area.

4.2. Membership benefits are non-transferable and may not be shared with non-members.

5. Cancellation and Termination

5.1. Cancellation by Members:

  • Members may cancel their membership at any time by providing three months’ written notice to the Club. Members must email info@calibre100.com to serve their notice.
  • Membership benefits will remain accessible during the notice period, provided monthly fees are paid.

5.2. Termination by the Club:

  • The Club may terminate a membership with immediate effect if the member breaches these Terms and the Club Rules, which include but are not limited to:
  • Engaging in behaviour detrimental to the Club or its members.
  • Misusing member benefits or privileges.
  • Violating applicable laws or Club policies.
  • Misusing/Breaching their pledge terms
  • Bringing the name of the Club or its members into disrepute
  • Terminated members will forfeit their joining fee and any unused portion of monthly fees. The members’ profile will be terminated and removed once termination is   processed.

5.3. Reinstatement: Terminated members may reapply for membership at the Club’s sole discretion.

6. Code of Conduct

6.1. Members are required to abide by the Club’s Code of Conduct, which will be made available upon joining.

6.2. Members must treat other members and staff with respect and avoid disruptive or harmful behaviour.

6.3. Misuse of Members Access, including sharing login credentials or posting inappropriate content, will constitute a breach of these Terms leading to termination of membership.

6.4 Whilst members are expected to create pledges which will be competitive to drive sales to their business, it is essential that consideration is given when other members are from a similar industry. The board of directors will not approve a pledge that is deliberately trying to ‘gazump’ the other member, pledges are expected to fair and reasonable.  In the event a pledge is seen to be seeking to undermine other members, this will not be approved.

7. Limitation of Liability

7.1. The Club will not be held liable for:

  • Losses or damages arising from the misuse of membership benefits.
  • Interruptions to services or facilities beyond the Club’s control.
  • For unpaid referral fees between members

7.2. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited or excluded under English law.

8. Privacy and Data Protection

8.1. The Club will process personal data in accordance with its Privacy Policy and applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR).

8.2. Members must notify the Club of changes to contact or payment information.

9. Governing Law and Jurisdiction

9.1. These Terms and any disputes arising from them are governed by and construed in accordance with the laws of England and Wales.

9.2. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Amendments to Terms

10.1. The Club reserves the right to update or amend these Terms at its sole discretion. Members will be notified of any significant changes, which will take effect after a minimum of 30 days’ notice.

10.2. Continued membership following changes constitutes acceptance of the updated Terms.
